Flutter Completes Acquisition Of Brazilian Betting Company NSX

Gambling giant Flutter Entertainment has successfully acquired an initial 56% stake in NSX Group (“NSX”), a prominent Brazilian operator known for its Betnacional brand, for approximately $350 million.
In alignment with the transaction, Flutter will integrate Betfair Brazil with NSX, establishing a new Flutter Brazil business. Additionally, provisions have been incorporated to allow Flutter to increase its shareholding in NSX in the future.
Peter Jackson, CEO of Flutter, stated: “We are thrilled to welcome NSX, the operator of Brazil’s leading sports betting and iGaming brand, Betnacional, into the Flutter family. This acquisition exemplifies Flutter’s strategic approach to mergers and acquisitions, leveraging our ability to operate as an ‘and’ business. By combining NSX’s local expertise with our established Brazilian operations and the advantages of the Flutter Edge, we are poised to seize substantial growth opportunities in Brazil’s evolving market.”
A press release from Flutter anticipates that this acquisition will contribute an additional $220 million in revenues.
The Brazilian Gambling Market: A Landscape Transformation
Brazil has undergone significant regulatory changes in the sports betting sector as of January this year. Although fixed-odds sports gambling was legalized in 2018, a lack of regulation allowed many operators to operate without oversight. The newest regulations, crucial for fostering a secure and operationally sound betting environment, encompass:
-
Licensing: Operators are mandated to obtain licenses, each costing R$30 million (approximately $5 million). A total of 71 licenses have been granted in preparation for the market’s opening.
-
Taxation: A taxation model based on gross gaming revenue (GGR) has been implemented, with a set tax rate of 25%.
-
Consumer Protection: Measures have been introduced to curb money laundering, combat fraud, and promote responsible gambling among users.
- Advertising Restrictions: Stringent guidelines have been established to prevent the targeting of minors and vulnerable populations, ensuring ethical marketing practices.
Prior to these regulations, online casinos operated within a gray area, with estimates suggesting that unregulated platforms generated around $29.7 billion annually. In a proactive stance, the government has initiated crackdowns against illegal operations, blocking over 2,000 sites last October.
By consolidating Betfair Brazil with Betnacional, Flutter aims to capitalize on all facets of the newly regulated betting ecosystem. NSX emerged in the market in 2021 and has quickly ascended to the fourth position among operators by 2023. Despite generating approximately $256 million last year, NSX anticipates a loss of around $90 million this year due to substantial investments in the newly regulated market.
Flutter’s International Growth Strategy
Flutter encompasses a robust array of global gambling brands, including FanDuel, Sky Betting & Gaming, Sportsbet, PokerStars, Paddy Power, Sisal, Snai, tombola, Betfair, MaxBet, Junglee Games, and Adjarabet, enhancing its portfolio with the addition of NSX.
The company operates across more than 100 countries, consistently augmenting its presence through strategic acquisitions. Notably, in September last year, Flutter acquired Snaitech from Playtech for €2.3 billion ($2.6 billion) in Italy, alongside previous acquisitions of MaxBet in Serbia, tombola in the UK, and Junglee Games in India within the past three years.
In its latest earnings report, Flutter announced Q1 revenue of $3.67 billion, falling short of expectations of $3.84 billion. However, CEO Peter Jackson remains optimistic about future growth, asserting, “The global regulated market opportunity is substantial, and Flutter is uniquely positioned to excel.”
The strategic entry into the burgeoning Brazilian market exemplifies Flutter’s commitment to dominating the global gambling landscape.
